TERMS OF SERVICE

EFFECTIVE DATE: 2025

These Terms govern your use of the PHASE APP, the PHASE DEVICE, and all related services offered by Phase Performance Technologies (“Phase”, “we”, “our”, “us”).
 By using Phase, YOU AGREE TO THESE TERMS.

1. PURPOSE OF PHASE

Phase is a MENTAL PERFORMANCE PLATFORM designed to help you protect your attention, build deep focus and understand how your daily patterns influence clarity.

Phase is a PERFORMANCE TOOL.
 It DOES NOT DIAGNOSE, TREAT OR CURE ANY MEDICAL CONDITIONS.

2. ELIGIBILITY

To use Phase:

  • You must be AT LEAST 16 YEARS OLD. If you are 16–18, you must have PERMISSION FROM A PARENT OR LEGAL GUARDIAN.

  • You may not use Phase where it is PROHIBITED BY THE LAWS OF YOUR JURISDICTION.

3. REQUIREMENT OF THE PHASE DEVICE

  • The PHASE DEVICE IS REQUIRED to activate Focus Sessions and the full Phase experience.

  • Without the device, core features and metrics will NOT function.

  • The device acts as your PHYSICAL TRIGGER FOR CLARITY AND DEEP FOCUS.

4. LICENSE TO USE THE APP

We grant you a LIMITED, NON-EXCLUSIVE, REVOCABLE, NON-TRANSFERABLE LICENSE to:

  • use the Phase app

  • use the Phase device

  • access features and insights for personal, non-commercial use

You MAY NOT:

  • copy, modify or distribute the app

  • reverse-engineer the app, scoring logic, or device firmware

  • bypass app-blocking or misuse Focus Sessions

  • use Phase for illegal purposes
    resell access to Phase

  • create or assist competing products using Phase intellectual property

Any misuse may result in SUSPENSION OR TERMINATION.

5. ACCOUNT SECURITY AND RESPONSIBILITY

You are responsible for:

  • maintaining the CONFIDENTIALITY of your login information
    all activity under your account

  • notifying us immediately if you suspect UNAUTHORIZED ACCESS

We may suspend or terminate accounts showing misuse, fraud, or security risk.

6. FOCUS SESSIONS AND APP BLOCKING

When you start a Focus Session:

  • Phase blocks only the APPS YOU SELECT

  • We DO NOT READ the content of those apps

  • Your FOCUS SESSION METRICS begin tracking

You are responsible for selecting which apps to block.
 Phase is NOT LIABLE for missed notifications, calls or messages during Focus Sessions.

7. DEVICE HANDLING AND WARRANTY

  • Do not disassemble, modify or misuse the Phase device.

  • If your device arrives DEFECTIVE, we will replace it.

  • Damage caused by MISUSE is NOT COVERED by warranty.

8. UPDATES AND AVAILABILITY

The Phase app may update automatically.
 We do not guarantee:

  • uninterrupted service

  • compatibility with every device or operating system

  • that updated scoring logic will match older versions

Third-party app store rules may also apply.

9. INTELLECTUAL PROPERTY

All intellectual property related to Phase—including the DEVICE, SCORING SYSTEMS, CLARITY SCORE, DECISION ENERGY, FLOW CYCLES, PHASE INDEX, APP DESIGN, BRAND, CONTENT, SOFTWARE, ALGORITHMS, HARDWARE CONCEPTS, and more—
 is OWNED BY PHASE PERFORMANCE TECHNOLOGIES.

You may not reproduce, distribute, or create derivative works from any Phase IP.

10. PROHIBITED USES

You may not use Phase to:

  • engage in illegal activities

  • interfere with app or device performance

  • access or attempt to access unauthorized data

  • harass, spam or abuse others

  • tamper with or extract scoring systems

  • analyze or reverse-engineer hardware, software or algorithms

We may take LEGAL ACTION against violations.

11. THIRD-PARTY SERVICES AND OPEN-SOURCE COMPONENTS

Phase may rely on third-party software or open-source components.
 Their licenses still apply.
 Phase is NOT RESPONSIBLE for issues caused by third-party dependencies.

12. LIMITATION OF LIABILITY

Phase is not liable for:

  • device misuse

  • data loss caused by user actions

  • missed notifications during Focus Sessions

  • compatibility issues

  • reliance on Phase as medical advice

  • indirect, incidental or consequential damages

Your use of Phase is AT YOUR OWN RISK.

13. GOVERNING LAW

These Terms are governed by the LAWS OF THE UNITED ARAB EMIRATES, unless otherwise required by your jurisdiction.

14. TERMINATION

We may suspend or terminate your access if:

  • you violate these Terms

  • you misuse the app or device

  • we detect fraud, risk, or unauthorized usage

You may stop using Phase at any time.

15. CHANGES TO THESE TERMS

We may update these Terms from time to time.
 Continued use of Phase means you ACCEPT THE UPDATED TERMS.
